The offer and sale of the Units is being made in reliance on an exemption from the registration requirements of the Securities Act and applicable state securities laws. Accordingly, distribution of the Private Placement Memorandum (the "PPM") and any supplements has been strictly limited to persons who are "accredited investors." The Company reserves the right, in its sole and absolute discretion, to declare any prospective Investor ineligible to purchase Units based on any information that may become known or available to the Company concerning the suitability of such prospective Investor, for any other reason, or for no reason.

Deal Terms

The primary purpose of the Offering is to raise funds to permit the Company to (1) redeem 200 units of membership interest in the Company from Grene-Valiant Partners LLC, the Company's current member, pursuant to the Redemption Agreement; (2) acquire and own the AHS Interest, thus acquiring a majority ownership interest in AHS for the purchase price of up to $1,250,000 from one of AHS' current members, pursuant to the terms and conditions set forth in the Purchase Agreement and (3) to cause AHS to continue to hold the Contract Rights for investment or approve the taking of any other action with respect to the Heat Safety System Bundles including, without limitation, seeking to cause AHS to donate the Contract Rights for the Heat Safety System Bundles to a Charitable Organization or pursuing the AHS Marketing Plan.
